These terms and conditions of use (“Terms of Use”) govern use of our online services, interfaces and properties (e.g., websites, mobile applications and associated products) provided, owned and/or controlled by SNYPUR, LLC (“SNYPUR”), including the www.snypur.com website (the “Site”) and the service(s) available to users of the Site (“Users” or “You”) through the Site (“Service(s)”). Your compliance with these Terms of Use is a condition to Your use of the Site. If You do not agree to be bound by the Terms of Use, promptly exit this Site. Please also consult our Privacy Policy for a description of our privacy practices and policies, including how we collect and handle Your information.

1. Website Services

SNYPUR.com is an online research service that offers business, academic, literary and other users information responsive to a specific user request for information (“Query”). When You make a purchase on SNYPUR’s Website (“Order”), SNYPUR agrees to exercise reasonable and diligent effort to provide You with an organized informational report reasonably responsive to the Query  (“Product”), which is posted to the corresponding Order page on the Website on or before the date specified by SNYPUR during the Order process.

Limited Use.  In placing an Order, You agree to limit use of the Product to Your personal use only, and that You will not reproduce, resell, or distribute product in any shape, form, or medium.

License to Use Product Only as Information Source.  SNYPUR may or may not credit sources of information in Product provided to You.  You recognize that SNYPUR is providing an informational report and that the fee paid by You to SNYPUR is a reflection of the time and effort put into conducting relevant research and writing pertaining to Your Order as well as all the necessary maintenance and administration for Product delivery, and that the informational content of Product provided to You is improved when time is not consumed in reporting peripheral matters.  Accordingly, You agree not to directly quote Product as literary expression of Your own authorship. However, You may use the ideas and informational content contained in Product in Your own original writing expressed in Your own words.

You will not be provided with articles or e-books in their entirety. Excerpts cited in Product are delivered for referencing purposes only. 

Supplemental Fees.  In the event that further information or another service is requested by the You, for example after the delivery of a Product, a service fee will be assessed, for example for the collection and delivery of materials, including links to sources from where the material is available in its entirety for purchasing or viewing.

No Copyright License. SNYPUR retains all copyrights and other associated rights in Product, and Your license to use Product is limited by these terms and conditions which You agree to be bound by and observe.

2. User Generated Content; SNYPUR Liability Limited

Neither SNYPUR, nor any of its subsidiaries or affiliates or any third party (who may promote the Site or provide a link to the Site ) shall be liable a) for any advice or service obtained from a user, contributor, third party, or otherwise obtained via and/or through using the Site, or b) for any other information obtained on or through the Site .

Any information or advice received from a third party user of the Site comes from them alone, and not from SNYPUR. SNYPUR does not endorse any specific products, practices, or procedures that are recommended by third parties or persons who may otherwise use the Site to communicate with users and/or others.

SNYPUR does not have any obligation to pre-screen or approve Site user generated content and does not do this. You acknowledge that Your reliance on any information provided by users, contributors, third party affiliates, or otherwise via the Site is solely at Your own risk and You assume full responsibility for all risk associated with that reliance. Without limiting the foregoing, SNYPUR reserves the right in its sole discretion to pre-screen, refuse, or remove any content. SNYPUR shall have the right to remove any content that violates this Agreement or is otherwise deemed by SNYPUR to be objectionable, or otherwise inconsistent with its policies or goals. SNYPUR does not impliedly endorse, support, sanction, encourage, verify, or agree with the comments, opinions, suggestions, statements posted, uploaded, transmitted, sent or otherwise made available on or through the Site, including without limitation in our social, community, and public discussion areas, photo and video areas, bulletin boards, forums, chats, blogs, columns, articles, personal/job search and other classified ads, contests, sweepstakes, or elsewhere. Any Content posted, uploaded, transmitted, sent or otherwise made available on or through the Site or publications associated therewith, including advice and opinions, are the views and responsibility of those who post the Content and do not necessarily represent our views or the views of our licensors, vendors, and/or providers. By utilizing the Service, You agree that SNYPUR and any associated licensors, vendors, and providers are not responsible, and shall have no liability to You, with respect to any Content posted, uploaded, transmitted, sent or otherwise made available on the Site, including Content that violates this Agreement.

Except as specifically provided herein, SNYPUR does not make any representations or warranties about the appropriateness of any particular Product for any particular person.  You are ultimately responsible for choosing and deciding whether or not to use information in Product provided to You, and You are solely responsible for use of Product.

SNYPUR’s liability to You, for any and all reasons, shall be limited in total to monies paid by You to SNYPUR for Product.

3. Ownership of the Site, Content, and Related Materials

Use of the Site and any Content posted thereon by any party including, but not limited to, SNYPUR itself, its affiliates, third party users, vendors, licensors, or otherwise is limited in scope to personal use. All pages within this Site and any material made available for download are the property of SNYPUR, or its licensors or suppliers, as applicable. The Site, Services, and content are protected by United States and international copyright and trademark laws and/or by pending patent application(s), and by these Terms of Use. The trademarks, including “SNYPUR” and the associated SNYPUR logo, are trademarks of SNYPUR, LLC.

Ownership of Content posted, created, distributed, or otherwise made available by SNYPUR, its affiliates, licensors, or vendors is governed by the applicable laws of the United States and other countries, including the associated international copyright and trademark laws and may not be accessed, exported, changed, disclosed, communicated, polled, copied, published or otherwise used outside the context of the personal use of the Site as directed and instructed by SNYPUR.  Content may only be accessed by a human visually observing a Site webpage provided by the Service and/or a human directly operating graphic user interfaces. Users, associated third parties, and others are not authorized to copy, duplicate, re-distribute, or make available any material, whether copyright protectable or not, owned by SNYPUR, its affiliates, licensors, vendors, or others.

Users or the owner of any Content is posted, uploaded, transmitted, sent or otherwise made available on or through the Site retain ownership of all rights, title, and interests in such Content. However, by posting, uploading, transmitting, sending or otherwise making available Content, registering for the Service, or engaging in any other form of communication with SNYPUR (on or through the Site or otherwise), You irrevocably grant SNYPUR a royalty-free, non-exclusive, unrestricted, worldwide, perpetual, right and license to copy, reproduce, modify, edit, crop, alter, revise, adapt, translate, enhance, reformat, remix, rearrange, resize, create derivative works of, move, remove, delete, erase, reverse-engineer, store, cache, aggregate, publish, post, display, distribute, broadcast, perform, transmit, rent, sell, share, license, sublicense, syndicate, or otherwise provide to others, use, or change all such Content and communications in any medium (now in existence or hereinafter developed) and for any purpose, including commercial purposes, and to authorize others to do so.

SNYPUR reserves the right to use, re-distribute, copy, publish, or otherwise claim ownership to any ideas, suggestions, developments, research, descriptions, and/or inventions that You post, upload, transmit, send or otherwise make available on the Service in any manner herein listed without any compensation or attribution to You. 

4. Electronic Communications

When You use any SNYPUR service, or send e-mails, text messages, and other communications from Your desktop or mobile device to us, You are communicating with us electronically. By utilizing the Service and engaging in electronic communications including, but not limited to, those listed in the foregoing, You consent to receive communications from us electronically. Accordingly, You agree that (a) all agreements and consents can be signed electronically and (b) all notices, disclosures, and other communications that we provide to You electronically satisfy any legal requirement that such notices and other communications be in writing.

5. Site Access, Security and Restrictions; Passwords 

If You create a user account with SNYPUR, You agree to complete the registration process by providing current, complete, and accurate information as required by SNYPUR. You are responsible for all activities that occur under Your account. In the event access to the Site or a portion thereof is limited requiring a user ID and password (“Protected Areas”), You agree to access Protected Areas using only Your user ID and password as provided to You by SNYPUR. You agree to protect the confidentiality of Your user ID and password, and not to share or disclose Your user ID or password to any third party. You agree that You are fully responsible for all activity occurring under Your user ID. 

Users are prohibited from violating or attempting to violate the security of the Site, including, without limitation, (a) accessing data not intended for such user or logging onto a server or an account which the user is not authorized to access; or (b) attempting to probe, scan or test the vulnerability of a system or network or to breach security or authentication measures without proper authorization; or (c) accessing or using the Site or any portion thereof without authorization, in violation of these Terms of Use, or (d) for a purpose other than the normal operation of  the site, or (e) to download data stored on the Site, or (f) in violation of applicable law. If You are under 18, You may use SNYPUR Services only with involvement of a parent or guardian.

You may not use any scraper, crawler, spider, robot or other automated means of any kind to access or copy data on the Site, deep-link to any feature or content on the Site, bypass our robot exclusion headers or other measures we may use to prevent or restrict access to the Site.

Violations of system or network security may result in civil or criminal liability. SNYPUR will investigate occurrences that may involve such violations and may involve, and cooperate with, law enforcement authorities in prosecuting users who are involved in such violations. You agree not to use any device, software or routine to interfere or attempt to interfere with the proper working of this Site or any activity being conducted on this Site.

6.  License and Access

Subject to Your compliance with these Terms of Use and Your payment of any applicable fees, SNYPUR grants You a limited, non-exclusive, non-transferable, non-sub-licensable license to access and make PERSONAL USE of the information in SNYPUR Product, provided the same is not competitive with SNYPUR. This license does not include a) any resale or commercial use of any SNYPUR Service, or its contents; b) any other collection and use of any Product, research, or content; c) any derivative use of any SNYPUR Product or its contents; d) any submission of SNYPUR’s Product by the User as User’s own original expression, e) any downloading, copying, or other use of information for the benefit of any third party; or f) any use of data mining, robots, or similar data gathering and extraction tools. SNYPUR may or may not control or track the User’s use of Product provided to User. All rights not expressly granted to You in these Terms of Use are reserved and retained by SNYPUR or its licensors, suppliers, publishers, rights holders, or other content agents and providers. No SNYPUR Product, nor any part of any SNYPUR Product, may be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any commercial purpose without express written consent of SNYPUR. You may not frame or utilize framing techniques, link or inline for any purpose, including, without limitation, to enclose any trademark, logo, or other proprietary indicator (including images, text, page laYout, or form) of SNYPUR without express written consent. You may not use any meta tags or any other “hidden text” utilizing SNYPUR’s name or trademarks without the express written consent of SNYPUR. You may use the SNYPUR Product and the Site only as permitted by law. The licenses granted by SNYPUR terminate if You do not comply with these Terms of Use.

The Contents of the Site, including without limitation the files, documents, text, photographs, images, audio, and video, and any materials accessed through or made available for use or download through this Site (“Content”) may not be copied, distributed, modified, reproduced, published or used, in whole or in part, except for purposes authorized or approved in writing by SNYPUR.

7. Academic Integrity Policy

ALL PRODUCT IS PROVIDED TO You STRICTLY FOR INFORMATIONAL PURPOSES ONLY. By accepting these Terms and Conditions of Use, You understand that it is his/her own responsibility to prepare and submit Your own work to Your educational institution or other end user recipient. You agree that Your use of any part of the Products provided to You by SNYPUR is possible only with proper reference to the source whether or not the same has been made available or is reported in Product.  SNYPUR is not obligated to report source information or report where sources have been directly quoted. Rather it is Your obligation to do Your own writing and set forth information in Your own words and original expression.

SNYPUR DOES NOT SUPPORT ACADEMIC PLAGIARISM IN ANY FORM. While Product is individually written based on Your needs as expressed in Your Query, SNYPUR may copy and reuse the content of Product, and retains all copyrights and other rights to do so. 

8.  Accuracy of Information

Although SNYPUR attempts to ensure the integrity and accurateness of Product, SNYPUR makes no representations, warranties or guarantees whatsoever as to the correctness or accuracy of information in Product, the Site and other content in or associated with the same. It is possible that the Site could include typographical errors, inaccuracies or other errors, and that unauthorized additions, deletions and alterations could be made to the Site by third parties. In the event that an inaccuracy arises, please inform SNYPUR so that it can be corrected. Information contained on the Site may be changed or updated without notice. You agree that when You access a non-SNYPUR site, You understand that it is independent from SNYPUR, and that SNYPUR has no control over the Content on that website. In addition, a link to a non-SNYPUR website located anywhere on the Site, including in the context of advertising and affiliates, does not mean that SNYPUR endorses or accepts any responsibility for the Content, or the use, of the linked site. It is up to You to take precautions to ensure that whatever You select for Your use or download is free of such items as viruses, worms, Trojan horses, and other items of a destructive nature. If You decide to access any of the third party sites linked to this Site, You do this entirely at Your own risk.

10. User Information

If You submit, upload, post or transmit any information, requests, comments, ideas, suggestions, information, reviews, videos, images or other materials to us or to or via our Site (“User Information”), You agree not to provide any information that (1) is false, inaccurate, defamatory, abusive, libelous, unlawful, obscene, threatening, harassing, fraudulent, pornographic, or harmful, or that could encourage criminal or unethical behavior, (2) violates or infringes the privacy, copyright, trademark, trade dress, trade secrets or intellectual property rights of any person or entity, or (3) contains or transmits a virus or any other harmful component.

SNYPUR IS NOT RESPONSIBLE FOR THE CONSEQUENCES AS A RESULT OF PERSONALLY IDENTIFIABLE INFORMATION RECOGNIZED OR CONTENT POSTED, UPLOADED, TRANSMITTED, SENT, OR OTHERWISE MADE AVAILABLE TO THIRD-PARTIES, OTHER USERS, AFFILIATES, VENDORS, ADVERTISERS, OR OTHERWISE IN THE USE OF THE SITE.

11. Claims of Copyright Infringement

15. Copyright and Personal Use

Users are responsible to always act within ethical standards. SNYPUR is not responsible for Users using SNYPUR for any kind of illegal or unethical activity or violations of any academic policies, including but not limited to, high school, college, or university academic policies. Additionally, the products of SNYPUR may not be submitted as the User’s own work. The only permitted use of a Product is as a source of information based on a Query from You. In the case that the product of SNYPUR is used, citations to SNYPUR and explicit disclaimers regarding the origin and author of the product are strictly required. SNYPUR is not liable for any User who improperly cites SNYPUR products. 

16. Dispute Resolution

SNYPUR will try to work in good faith to resolve any issue You have with the Site or SNYPUR, if You bring that issue to the attention of the Site administrator. However, we realize that there may be cases where we may not be able to resolve an issue to a User’s satisfaction. In the event we cannot resolve a dispute between us, You agree that all matters related to any use of Product or access of the Site, will be governed by the laws of the State of New York, without regard to its conflicts of laws or rules.

If the parties are unable to resolve an issue between them as outlined above, the parties agree to submit all disputes related to this Agreement to binding arbitration in North Carolina in accordance with the arbitration rules of the American Arbitration Association. The parties agree to share equally all fees of the arbitrator and the American Arbitration Association. Judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction to do so. The parties will pay their own attorney’s fees in conjunction with any arbitration.

To the extent that an issue arises between the parties which is not within the scope of arbitration required by this agreement, the venue for resolution of such issue is exclusively in the state and/or federal courts of the State of North Carolina located in Durham County, and You consent to the personal jurisdiction of those courts over You with respect to claims or controversies arising out of this Agreement.

17. Force Majeure

We will not be deemed to be in breach of these terms or liable for any breach of these terms or our privacy policy due to any event or occurrence beyond our reasonable control, including without limitation, acts of God, terrorism, war, invasion, failures of any public networks, electrical shortages, earthquakes or floods, civil disorder, strikes, fire or other disaster.

18. Indemnity
